Baldwin Technology Company Inc. ("us", "we", or "our") operates various website services to provide Internet-of-Things (IoT) data connectivity to equipment installed at customer’s (“Buyer’s) facilities (the “Service”).

Processing of Data
The equipment supplied by Baldwin Technology, including any of its subsidiaries or authorized partners (“Baldwin”), may capture, collect and otherwise process data, including personal data. In the scope of our provided IoT Service, data processed will be first stored locally under the Buyer’s responsibility, using a local data buffer. Second, the data will be transmitted to Baldwin’s Servers, in particular by means of the our web platform (the use of this web platform may be subject to our terms of use and/or to a separate agreement between Buyer and Baldwin).
Data collected is to be used solely in connection with the delivered equipment and the deployment thereof, and excludes disclosures to unauthorized third parties except where it may be required by law. Both Baldwin and Buyer shall ensure that their respective employees, contractors or data processors (and their employees) shall be bound by confidentiality when processing any Personal Data.
Baldwin acting as a Data Processor
If any of the collected data from the Service comprises personal data (as defined in the European General Data Protection Regulation n° 2016/679 (“GDPR”)), the processing of personal data may be subject to a separate data processing agreement (if such an agreement is in place between Baldwin and Buyer) insofar as Baldwin processes personal data for the Buyer.
Baldwin may process personal data under instruction of its Buyers for the following purposes (which may be further set out in a separate agreement):
Trouble shooting: Trouble shooting on demand of the Buyer where Baldwin shall have access to the data stored on the servers of the Customer in order to solve the issue.
Training and Process Improvement: Analyses of data to verify whether the Buyer’s staff should receive additional information or training based on analyses via the web platform of the data provided by IoT-connected equipment showing issues outside of what is considered normal in order to train operators properly on use and maintenance of the connected equipment.
Baldwin acting as a Data Controller
Baldwin shall act as a data controller with regard to the analyses of data in view of developing and offering services of predictive and preventive maintenance, and to improve its offering and services. The processing of Personal Data for these purposes (analyses of data for offering predictive and preventive maintenance, and the improvement of services and offering) shall be subject to the following provisions.
Buyers who use the Service are also considered Data Controllers. Each Party, as a Controller, shall undertake to ensure that the personal data for which they are responsible and held on their system for the defined purposes are managed in a manner compliant with the General Data Protection Regulation (GDPR) and the applicable national data protection legislation.
Each Party shall inform the other Party if he cannot comply with the provisions of this Agreement or the GDPR, without undue delay, and grants the right to the other Controller to suspend the disclosure and transfer of Personal Data and/or to terminate the use of the Service.
Both Parties undertake to inform Data Subjects of the processing purposes that each Party will perform with the Personal Data and shall provide all the information that the Party must provide in accordance with articles 13 and 14 of the GDPR.
Each Controller shall separately manage the commercial and data management activities of their respective processing, and sometimes may utilize third-party services in their respective processing (“Processors”). The Controller shall only provide such personal data to the Processor as the Processor may reasonably require to provide their services.
The Controller guarantees that he shall use only Processors providing sufficient guarantees to implement appropriate technical and organizational measures in such a manner that processing will meet the requirement of the General Data Protection Regulation GDPR and ensure the protection of the rights of the data subjects.
The processing of personal data by a Processor shall be governed by a data processing agreement containing all mandatory provisions as defined by article 28.3 of the GDPR. The Parties shall not retain or process the Personal Data for a longer period that is longer than necessary to carry out the purposes of the processing.
Personal Data may be processed for a longer period to comply with any statutory or professional retention periods. Each Party shall ensure that Data Subjects may effectively execute their data subject’s rights for the processing purposes where each Party is accountable for.
Data Subjects have the right to obtain certain information about the processing of their Personal Data through a subject access request. Data Subjects also have, within the limits and restrictions of articles 15 – to 23 GDPR, also the right to rectification, the right to erasure of their Personal Data, the right to restriction of processing, the right to data portability and the right to object to the processing of personal data.
If one Party receives a request from a Data Subject for a specific processing purpose where the other Party determines the means and purposes, the request shall be transferred immediately to the other Party which shall respond to the request within 1 (one) month of reception of the request by the other Party. Each Party shall be liable for the damages caused by its actions or omissions regarding their respective data processing activities. Each Party shall be solely liable for the damages caused by their respective Processors. The Controller which appointed the Processor causing the damages shall indemnify the other Controller for all damages caused by this respective Processor.
